1. Acceptance of Terms

These Terms of Use ("Terms") constitute a legally binding agreement between you ("you" or "User") and Westlake Labs LLC ("Westlake Labs," "we," "us," or "our"), governing your access to and use of the Quill mobile application ("the App") and any related services. By downloading, installing, or using Quill, you agree to be bound by these Terms. If you do not agree, do not use the App.

We reserve the right to modify these Terms at any time. We will notify you of material changes by updating the effective date above and, where appropriate, providing notice within the App. Your continued use of the App more than thirty (30) days after such notice constitutes acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the App before the end of the 30-day notice period.

2. Description of Service

Quill is a faith and prayer application designed to support your spiritual journey. The App provides daily devotionals, AI-powered Bible study insights, sermon recording and transcription, Bible reading and highlighting, journaling, and personalized faith content. Certain features require an active paid subscription.

3. Eligibility

You must be at least 13 years of age to use Quill. If you are between 13 and 18 years of age (or the age of majority in your jurisdiction), you may only use the App with the consent of a parent or legal guardian who agrees to be bound by these Terms. By using the App, you represent and warrant that you meet these eligibility requirements.

4. Account Registration

To access certain features of the App, you must create an account using a valid email address and password, Sign In with Apple, or Google Sign In. You are responsible for:

• Maintaining the confidentiality of your login credentials.
• All activity that occurs under your account.
• Providing accurate and current account information.
• Promptly notifying us of any unauthorized use of your account by emailing support@quillbible.com.

We reserve the right to suspend or terminate your account if any information provided is inaccurate, misleading, or in violation of these Terms.

5. Subscriptions and Payment

5.1 Subscription Plans

Quill offers premium subscription plans that provide access to additional features. Current pricing and plan options are available within the App and through the Apple App Store. Subscription pricing is subject to change. Any price changes will be communicated to you before they take effect, and you will have the opportunity to cancel before the new pricing applies.

5.2 Free Trial

Certain subscription plans may include a free trial period for new subscribers. During the free trial, you will have full access to all premium features. If you do not cancel before the free trial period ends, your subscription will automatically convert to a paid subscription at the applicable rate. You may cancel the free trial at any time through your Apple ID account settings. Free trial eligibility and duration are specified at the time of subscription.

5.3 Billing and Renewal

All subscriptions are billed through the Apple App Store. Payment is charged to your Apple ID account upon confirmation of purchase (or at the end of the free trial period, if applicable). Subscriptions automatically renew at the end of each billing period unless you cancel at least 24 hours before the end of the current period. Your account will be charged for renewal within 24 hours prior to the end of the current period at the then-current subscription rate.

5.4 Cancellation

You may cancel your subscription at any time through your Apple ID account settings (Settings > [your name] > Subscriptions on your iOS device). Cancellation will take effect at the end of the current billing period. You will retain access to premium features until the end of the period you have already paid for. No refunds are provided for partial billing periods.

5.5 Refunds

Since all payments are processed through the Apple App Store, refund requests must be submitted directly to Apple in accordance with their refund policies. Westlake Labs does not process refunds directly.

6. AI-Generated Content Disclaimer

Quill uses third-party artificial intelligence services to generate devotional content, Bible study insights, chat responses, and other faith-related materials. You acknowledge and agree to the following:

• For personal reflection only. AI-generated content is provided for personal spiritual reflection and educational purposes. It is not a substitute for professional theological, pastoral, medical, psychological, legal, or financial advice.
• Not authoritative Scripture interpretation. AI-generated insights represent one possible interpretation and should not be treated as definitive or authoritative theological guidance. We encourage you to consult your pastor, spiritual advisor, or other qualified professionals for matters of significant spiritual concern.
• Potential for inaccuracy. AI-generated content may be theologically, historically, or factually inaccurate. It may contain errors, omissions, or misleading statements. Westlake Labs does not guarantee the theological accuracy, completeness, or appropriateness of any AI-generated content. You are solely responsible for verifying any information provided by the App's AI features.
• Not medical, mental health, or crisis counseling. AI-generated content is not a substitute for professional medical, psychiatric, psychological, or therapeutic care, and does not constitute mental health advice, therapy, or crisis counseling. If you are experiencing a mental health crisis, please contact a qualified mental health professional, call the 988 Suicide & Crisis Lifeline (call or text 988), or go to your nearest emergency room immediately.
• No endorsement. The inclusion of any particular theological perspective, denomination-specific content, or spiritual practice in AI-generated material does not constitute an endorsement by Westlake Labs.

7. Acceptable Use

You agree to use Quill only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the App to harass, abuse, defame, threaten, or intimidate any person.
• Upload, share, or transmit content that is unlawful, hateful, discriminatory, obscene, or otherwise objectionable.
• Attempt to reverse engineer, decompile, disassemble, or otherwise derive the source code of the App.
• Use automated systems, bots, or scripts to access the App or its services.
• Interfere with or disrupt the integrity, security, or performance of the App or its underlying infrastructure.
• Circumvent, disable, or otherwise interfere with any security or access-control features of the App.
• Use the App to collect, harvest, or aggregate personal data of other users.
• Misrepresent AI-generated content as your own original pastoral, theological, or professional guidance in a commercial context.
• Use the App in any manner that could damage, disable, overburden, or impair our servers or networks.

8. User-Generated Content

8.1 Your Content

You may create, upload, and store content within the App, including but not limited to sermon recordings, audio files, Bible study notes, journal entries, highlights, and bookmarks (collectively, "User Content"). You retain all ownership rights in your User Content.

8.2 License to Westlake Labs

By submitting User Content to the App, you grant Westlake Labs a limited, non-exclusive, royalty-free, worldwide license to store, process, and display your User Content solely for the purpose of providing the App's services to you (including cloud storage, synchronization, and AI-powered features). This license exists only for the duration that your User Content remains in the App and terminates upon deletion of your content or account.

8.3 Sermon Recordings

You are solely responsible for obtaining any necessary permissions or consents before recording sermons, lectures, or other audio content. You represent and warrant that you have the right to record, store, and process any audio content you upload to or record within the App. Westlake Labs is not responsible for any claims arising from your recording of third-party content without authorization.

8.4 Content Responsibility

You are solely responsible for all User Content you create, upload, or store within the App. Westlake Labs does not monitor, review, or endorse User Content and assumes no liability for any User Content.

9. Copyright and DMCA

9.1 Westlake Labs Property

The App, including its design, logos, trademarks, user interface, underlying software, algorithms, and all content provided by Westlake Labs (excluding User Content and third-party Scripture texts), is the exclusive property of Westlake Labs LLC and is protected by United States and international copyright, trademark, and other intellectual property laws.

9.2 Limited License

Subject to your compliance with these Terms, Westlake Labs grants you a limited, non-exclusive, non-transferable, revocable license to download and use the App on your personal iOS device for personal, non-commercial use. This license does not include the right to modify, distribute, sell, lease, sublicense, or create derivative works based on the App.

9.3 Bible Text

Scripture quotations and Bible text displayed within the App are sourced from public domain translations, including the King James Version (KJV) and the World English Bible (WEB). These texts are in the public domain and are not subject to copyright restrictions. Any additional translations that may be added in the future will be included under applicable license agreements, with licensing terms noted within the App.

9.4 DMCA Copyright Notices

Westlake Labs respects the intellectual property rights of others. If you believe that content available through the App infringes your copyright, you may submit a notice under the Digital Millennium Copyright Act (DMCA) to our designated agent:

Your notice must include: (a) a description of the copyrighted work you claim has been infringed; (b) a description of the material you claim is infringing and its location within the App; (c) your contact information; (d) a statement that you have a good faith belief the use is not authorized; (e) a statement, under penalty of perjury, that your notice is accurate and that you are the copyright owner or authorized to act on their behalf; and (f) your physical or electronic signature.

10. Privacy

Your use of the App is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review the Privacy Policy to understand how we collect, use, and protect your information.

11. Disclaimer of Warranties

THE APP IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WESTLAKE LABS DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY.

Without limiting the foregoing, Westlake Labs does not warrant that:

• The App will be uninterrupted, error-free, or free of viruses or other harmful components.
• AI-generated content will be accurate, complete, reliable, or suitable for any particular purpose.
• The App will meet your specific requirements or expectations.
• Any errors or defects in the App will be corrected.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WESTLAKE LABS LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH:

• Your use of or inability to use the App.
• Any AI-generated content provided through the App, including reliance on such content for spiritual, theological, medical, psychological, or other decisions.
• Unauthorized access to or alteration of your data or transmissions.
• Any third-party content, products, or services accessed through the App.
• Any other matter relating to the App.

IN NO EVENT SHALL WESTLAKE LABS' TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE APP EXCEED THE LESSER OF (A) THE AMOUNTS YOU HAVE PAID TO WESTLAKE LABS IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00).

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IN SUCH JURISDICTIONS, OUR LIABILITY SHALL BE LIMITED TO THE GREATEST EXTENT PERMITTED BY LAW.

13. Indemnification

You agree to indemnify, defend, and hold harmless Westlake Labs LLC and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with:

• Your use of the App or violation of these Terms.
• Your User Content, including any sermon recordings made without proper authorization or any content that infringes the intellectual property rights of a third party.
• Your violation of any applicable law, regulation, or third-party right.

14. Termination

14.1 Termination by You

You may stop using the App and delete your account at any time by contacting us at support@quillbible.com. Be sure to cancel any active subscription through your Apple ID account settings before requesting account deletion.

14.2 Termination by Us

We may suspend or terminate your access to the App at any time, with or without notice, for conduct that we determine, in our sole discretion, violates these Terms, is harmful to other users, or is otherwise objectionable. We may also terminate or suspend the App or any feature at any time without liability to you.

14.3 Effect of Termination

Upon termination, your right to use the App will immediately cease. The following sections shall survive termination: Sections 6 (AI Disclaimers), 8.2 (License to Westlake Labs), 9 (Copyright and DMCA), 11 (Disclaimer of Warranties), 12 (Limitation of Liability), 13 (Indemnification), 15 (Dispute Resolution and Arbitration), and 17 (General Provisions).

15. Dispute Resolution and Arbitration

15.1 Informal Resolution

Before initiating any formal dispute resolution proceeding, you agree to first contact us at support@quillbible.com and attempt to resolve any dispute informally for at least thirty (30) days.

15.2 Binding Arbitration

If we are unable to resolve a dispute informally, you and Westlake Labs agree that any dispute, claim, or controversy arising out of or relating to these Terms or the App (collectively, "Disputes") shall be resolved exclusively through final and binding individual arbitration, rather than in court, except that either party may bring qualifying claims in small claims court. The arbitration shall be administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules. The arbitration shall take place in Travis County, Texas, or, at your election, may be conducted remotely (by phone, video, or written submissions). The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

15.3 Class Action Waiver

YOU AND WESTLAKE LABS AGREE THAT EACH PARTY MAY BRING DISPUTES AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS ACTION, COLLECTIVE ACTION, OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS AND MAY NOT OTHERWISE PRESIDE OVER ANY FORM OF CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING. YOU EXPRESSLY WAIVE ANY RIGHT TO A JURY TRIAL.

15.4 Exceptions

Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights. Claims eligible for small claims court may be brought in small claims court in Travis County, Texas.

15.5 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions.

16. No Warranty on AI Accuracy

WITHOUT LIMITING THE GENERAL DISCLAIMER IN SECTION 11, YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT AI-GENERATED CONTENT PROVIDED THROUGH THE APP — INCLUDING DEVOTIONALS, BIBLE STUDY INSIGHTS, CHAT RESPONSES, AND ALL OTHER AI-POWERED FEATURES — MAY BE THEOLOGICALLY, HISTORICALLY, OR FACTUALLY INACCURATE. WESTLAKE LABS MAKES NO REPRESENTATION OR WARRANTY REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY AI-GENERATED CONTENT. YOU ARE SOLELY RESPONSIBLE FOR EVALUATING AND VERIFYING ANY INFORMATION PROVIDED BY THE APP'S AI FEATURES BEFORE RELYING UPON IT.

17. General Provisions

• Entire Agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and Westlake Labs regarding your use of the App and supersede all prior agreements and understandings.
• Severability. If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, that provision shall be enforced to the maximum extent permissible, and the remaining provisions shall remain in full force and effect.
• Waiver. Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.
• Assignment. You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may freely assign or transfer these Terms without restriction, including in connection with a merger, acquisition, reorganization, or sale of assets, without notice to or consent from you.
• Force Majeure. Westlake Labs shall not be liable for any failure or delay in performing our obligations where such failure or delay results from circumstances beyond our reasonable control, including but not limited to natural disasters, acts of government, internet disruptions, third-party service outages, or AI provider unavailability.
